1. Acceptance of Terms

By accessing or using LeadFarmAI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

LeadFarmAI provides AI-powered chat services for lead generation and qualification in the real estate industry. Our Service includes:

• AI chat widget for websites
• Lead capture and qualification
• Analytics and reporting dashboard
• Email notifications for new leads

3. User Accounts

To use the Service, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your password
• Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

4. Subscription and Payment

4.1 Billing

Subscriptions are billed monthly or annually in advance. Payment is due at the beginning of each billing period.

4.2 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months or unused services.

4.3 Price Changes

We reserve the right to change our pricing with 30 days advance notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Violate any laws in your jurisdiction (including but not limited to TCPA, Fair Housing Act)
• Transmit any worms, viruses, or malicious code
• Attempt to gain unauthorized access to the Service
• Use the Service to spam, harass, or defraud others
• Reverse engineer or copy any features or functionality
• Remove any proprietary notices from the Service

6. Compliance

6.1 TCPA Compliance

You are responsible for obtaining proper consent before collecting phone numbers for marketing purposes. LeadFarmAI provides tools to help with TCPA compliance, but ultimate responsibility lies with you.

6.2 Fair Housing Act

You must comply with all Fair Housing laws and regulations. LeadFarmAI includes discrimination detection features, but you are responsible for ensuring your practices comply with all applicable laws.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

7.1 Your Data

You retain all rights to the data you input into the Service (including lead information and conversations). We use your data only to provide and improve the Service.

7.2 Data Security

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by LeadFarmAI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Third-Party Services

The Service uses third-party services including:

• OpenAI for AI chat capabilities
• Stripe for payment processing
• AWS for infrastructure

Your use of these services is subject to their respective terms of service.

10. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted availability. We may perform maintenance that temporarily interrupts service. We are not liable for any disruption of service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADFARMAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Indemnification

You agree to indemnify and hold harmless LeadFarmAI from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

14. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

17. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

18. Entire Agreement

These Terms constitute the entire agreement between you and LeadFarmAI regarding the Service and supersede all prior agreements.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
